These are the general terms of use of Griffin Kinetic Pte Ltd (“Griffin”) for use of Griffinkinetic.com (“Site”), including your use of the Services and Content. Griffin Kinetic Pte. Ltd. (198600238N) is a private limited company incorporated under the laws of Singapore.
These terms of use apply to visitors, users, and others who wish to use, access, and/or provide information on the Site and/or Services.
Please read these terms of use carefully as your use of the Site and/or Services is subject to them. If you do not agree to the terms of use, Griffin is not willing to provide you with access to the Site and/or Services and you should immediately discontinue your use of the Site and/or Services.
Your viewing or use of this Site and/or Services will constitute your agreement, on behalf of yourself and the entity you represent (collectively “You” or “Your”), to all the terms provided below.
Griffin reserves the right at its sole discretion to change, modify or add to these terms of use without prior notice to you and your subsequent viewing or use of the Site and/or Services will constitute your agreement to the changes and modifications. There may be additional terms and conditions provided throughout the Site and/or Services governing Your use of particular functions, features, information and applications available through the Site.
“Content”: Information, graphics, products, features, functionality, Services, and links on the Site.
Griffin: Griffin Kinetic Pte Ltd, its parent and its parent’s affiliate and subsidiary companies, its affiliate subsidiary companies, any of which may exercise the rights and privileges afforded Griffin under this agreement, but Griffin Kinetic Pte Ltd is the sole obligor under these terms of use.
Services: any and all services accessible at the Site or via mobile app, including but not limited to GK Log mobile app and SSIT.store portal.
You/Your: Yourself and the entity that You represent.
2. What you are allowed to do
2.1 The Site, Content and/or Services is provided solely for the use of current and potential Griffin customers to interact with Griffin and may not be used by any person or entity, or for any other purpose. Use of the Site, Content and/or Services to provide information to or prepare shipments by or for the benefit of third-party shippers is expressly prohibited.
2.2 The use of non-authorised scripting technologies to obtain information from the Site and/or Services or submit information through the Site and/or Services is strictly prohibited.
3. What you are not allowed to do
a) Systematically copy (whether by printing off onto paper, storing on disk, web scraping or in any other way) substantial parts of the Site, Content and/or Services;
b) Remove, change or obscure in any way anything on the Site, Content and/or Services or otherwise use any material contained on the Site and/or Services except as set out in these terms of use;
c) Use or attempt to use another User’s account;
d) Use the Site and/or Services in any manner that could interfere with, disrupt, negatively affect or inhibit other Users from fully enjoying use of the Site, Content and/or Services or that could damage, disable or impair the functioning if the Site and/or Services in any manner;
e) Interfere or attempt to interfere with the Site and/or Services, host or network, including by way of introducing virus, overloading, “flooding” or crashing or sending unsolicited email, promotions or advertisement;
f) Reverse engineer, decompile or disassemble any aspect of the Site and/or Services or do anything that might discover source code or bypass or circumvent measures equipped to prevent or limit access to any part of the Site and/or Services;
g) Develop or use any third-party applications that interact with the Site and/or Services without the prior written consent of Griffin;
h) Reproduce, retransmit, disseminate, sell, publish, broadcast, distribute, perform, display, create new works or commercially exploit material contained on the Site and/or Services.
i) Create abstracts from, scrape or display headlines from anything available on the Site, Content and/or Services for use on another web site or service.
j) Use the Site, Content and/or Services for unlawful purposes. You shall comply with all applicable laws, statutes and regulations at all times.
4.1 Griffin requires You to register as a user (“User”) to access features on the Site, Content and/or Services.
4.2 By registering on the Site and/or Services, You agree to provide accurate and current information about Yourself as prompted by the Login Registration pages and maintain and promptly update. Your online profile information to keep it accurate and current.
4.3 You are responsible for maintaining the confidentiality of the password and User ID, and You are responsible for all activities that occur under Your password and User ID. You agree to immediately notify Griffin of any unauthorized use of Your User ID and password; and (b) ensure that You exit from Your session on the Site and/or Services at the end of each visit.
5.1 Griffin is the owner or licensee of all intellectual property rights in the Site and/or Services and in the content published on it. You are not allowed to copy or otherwise use any of these Intellectual Property rights in any way except as set out in these terms of use.
5.2 You acknowledge and agree that the text, information, data, graphics, images, audio, video, design, organization, compilation, meta data, look and feel, advertising and all other protectable intellectual property available on the Site and/or through the Services is the Intellectual Property of Griffin, and/or its advertisers or information providers, and is protected by intellectual property laws.
5.3 For the avoidance of doubt, Griffin does not convey to anyone, through allowing access to the Site, Content and/or Services, any ownership rights in the Site and/or Services or in any Content appearing on or made available through the Site and/or Services. You may not copy, modify, translate, transmit, distribute, adapt, reproduce, decompile, reverse engineer or disassemble any part of the Site and/or Services.
6. Exclusions and Limitations of Liability
6.1 Your use of the Site, Content and/or Services is at Your sole risk. Under no circumstances, including but not limited to negligence, shall Griffin be liable to You or to any party claiming through You for any direct, indirect, incidental, special, consequential or other damages in tort, contract, product liability or under any other theory of law resulting from the access to or use of insight information or the internet, or Your access to or use of, or inability to access or use, information or the internet, including without limitation, damages resulting from loss of use, profits, data, or business and damage to Your internal computer systems even if Griffin, or an authorized representative of Griffin, has been advised of the possibility of such damages.
6.2 Griffin will not be liable for Your acts or omissions, including but not limited to, incorrect completion or updating of any enrollment or profile form, failure to implement adequate internal security measures to safeguard Your user ID or password, or Services or Content provided to or accessed by You (or portions thereof) and its confidentiality or for the acts or omissions of the recipient or anyone else with an interest in the Site, Content and/or Services. Also, Griffin, will not be liable if You violate any of the terms of this agreement. Griffin will not be liable for loss or damages or delay caused by events Griffin cannot control, including but not limited to, acts of God, perils of the air, weather conditions, pandemics, mechanical delays, acts of public enemies, war, strikes, civil commotions, or acts or omissions of public authorities with actual or apparent authority. You agree to immediately notify Griffin, of any known or suspected unauthorized use of Your user ID, password or any other confidential information relating to Griffin or any known or suspected breach of security, including loss, theft or damage to Your shipments.
7.1 We endeavor to provide the best service we can but You understand and agree that the Site, Content and/or Services are provided “As Is” and “As Available” without express or implied warranty or condition of any kind. To the fullest extent permitted by applicable law, Griffin and all owners of the Site, Content and/or Services make no representation and disclaim any warranties or conditions of satisfactory quality, merchantability, fitness for a particular purpose or non-infringement. Griffin does not warrant that the Site, Content and/or Services is free of malware or other harmful components.
7.2 Although Griffin uses its reasonable efforts to ensure that information on the site and/or services is accurate and complete, we cannot guarantee this to be the case. As a result, and notwithstanding anything that may have been said to the contrary, use of the site and/or services is at Your sole risk and Griffin cannot accept any liability for loss or damage suffered by You arising from your use of information contained on the site and/or services. You should take adequate steps to verify the accuracy and completeness of any information contained on the site and/or services.
7.3 The Site, content and/or Services include and/or may include advertisements and links to external sites and co-branded pages or promote websites or services from other companies or offer You the ability to download software or content from other companies in order to provide You with access to information and services which you may find useful or interesting. Griffin does not endorse such sites nor approve any content, information, legal or illegal emails (whether spam emails or not), goods or services provided by them. Griffin is not responsible for and does not control those websites, services, emails, content and software and cannot accept any responsibility or liability for any loss or damage suffered by You as a result of Your use of its Site and/or Services or of such external and/or co-branded sites.
7.4 Griffin is unable to exercise control over the security or content of information passing over the network, and Griffin hereby excludes all liability of any kind for the transmission or reception of infringing or unlawful information of whatever nature.
7.5 Griffin accepts no liability for loss or damage suffered by You as a result of accessing the Site and/or Services which contains any virus or which has been maliciously corrupted.
8. Availability and Updating of the Site, Content and/or Services
8.1 Griffin is constantly updating materials on the Site and/or Services and may experience delays in such updates. Griffin reserves the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.
8.2 Griffin may suspend the operation of the Site and/or Services in order to carry out maintenance work or to update or upgrade its content or functionality from time to time. Griffin does not warrant that access to or use of the Site and/or its Services or of any sites or pages linked to it will be uninterrupted or error-free.
8.3 Griffin may discontinue or change all or any of the Services or Content on the Site, or their availability to all of their users, in its sole discretion, at any time without notice.
8.4 Griffin may change the format and content of the Site and/or its Services at its sole discretion from time to time. You should refresh Your browser each time you visit the Site and/or its Services to ensure that You access the most up-to-date version of the terms of use of the Site, Content, and/or Services.
10.1 Griffin may terminate these terms and conditions and Your access to and use of the Site and/or Services, or any portion thereof, in its sole discretion, at any time without notice even if access continues to be allowed to others.
10.2 Griffin will not terminate Users’ accounts on User’s demand. Griffin believes that once an account has been willingly created, it becomes part of its data.
10.3 The provisions of Clauses 5, 6, 7, 10 and 13 shall survive any termination of this Agreement.
11.1 You agree to defend, indemnify and hold Griffin and its shareholders, directors, officers, agents, employees and partners harmless from and against any and all claims, demand, damages, obligations, losses, liabilities, costs or debt, and expenses including but not limited to attorneys’ fees, made by any third party due to or arising out of Your access of the Site and/or Services by You or any person whether or not using Your account and password, relating to any of the following:
a) Your breach of any of these terms of use;
b) Your activities conducted in connection with the Site and/or Services;
c) Your failure to abide by any applicable laws or regulations regarding the Site, Content and/or Services;
d) Griffin’s provision of data and information to You (including without limitation, any errors in the information or any unavailable or incomplete information);
e) Authorized or unauthorized uses of the Site, Content and/or Services in any manner by You or on Your behalf, directly or indirectly, including, without limitation, claims of breach of privacy; or
Your failure to implement adequate internal security measures to safeguard Your User ID, password or information provided by Griffin (or any portion thereof) and its confidentiality.
12.1 These terms and conditions contain the final and entire agreement between You and Griffin regarding Your use of the Site, Content, and/or Services and supersede all previous and contemporaneous oral or written agreements regarding Your use of the Site, Content, and/or Services. This agreement is personal to You, which means that You may not assign Your rights or obligations under these terms and conditions to anyone. No third party is a beneficiary of these terms and conditions.
12.2 Griffin reserves the right to disclose any information about its Users in order to comply with any applicable laws and/or requests under legal process, to operate its systems properly, to protect its property or rights, and to safeguard the interests of its Users.
13.1 You agree to let Griffin use Your email address to send You service-related notices, important informational emails, etc. You may unsubscribe from the emails by following the corresponding links included in the emails themselves.
14.1 These terms and conditions shall be governed and construed in accordance with the laws of Singapore.
14.2 Griffin’s failure to enforce any right or provision of these terms and conditions will not be considered a waiver of those rights. If any provision of these terms and conditions is held to be invalid or unenforceable by a court, the remaining provisions of these terms and conditions will remain in effect.
